1. Acceptance of Terms

By downloading, installing, or using Wake Up or Lose ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Wake Up or Lose is an alarm clock application that incorporates mini-games to help users wake up in the morning. The App includes:

  • Alarm clock functionality with customizable settings
  • Wake-up mini-games that must be completed to silence alarms
  • Weather information and daily quotes
  • Various alarm sounds and themes
  • Game statistics and progress tracking

3. User Responsibilities

You agree to:

  • Use the App only for its intended purpose as an alarm clock
  • Provide accurate information when creating an account
  • Keep your account credentials secure
  • Not attempt to reverse engineer, modify, or distribute the App
  • Not use the App for any illegal or unauthorized purpose

4. Important Disclaimer

Wake Up or Lose is an alarm clock application designed for entertainment and personal use. While the App is designed to help you wake up, we cannot guarantee that you will wake up on time. You are responsible for ensuring you have backup alarms or methods if waking up on time is critical.

The App should not be relied upon as the sole method of waking for important events, meetings, flights, or other time-sensitive obligations where oversleeping could result in significant consequences.

5. Health and Wellness Disclaimer

The App is not a medical device, sleep aid, or clinical treatment for sleep disorders of any kind. The App is designed solely as an alarm clock with entertainment-based mini-game features to encourage wakefulness.

Ensonova, its founders, employees, affiliates, and contractors are NOT licensed physicians, sleep specialists, sleep therapists, or healthcare providers. Nothing in the App or its associated materials constitutes medical advice, a medical diagnosis, or a professional recommendation.

Your use of the App does not establish a doctor-patient relationship, therapist-client relationship, or any other professional-client relationship between you and Ensonova.

The App is not intended to diagnose, treat, cure, or prevent any sleep disorder, including but not limited to insomnia, sleep apnea, narcolepsy, restless leg syndrome, circadian rhythm disorders, parasomnias, or any other medical condition. The App makes no claims regarding its efficacy in treating or managing any health condition.

If you are experiencing persistent sleep difficulties, excessive daytime sleepiness, chronic fatigue, or any sleep-related health concerns, you should consult a qualified healthcare professional, such as a licensed physician or board-certified sleep specialist, before relying on any application or tool.

Audio alarms at high volume levels may cause hearing damage or hearing loss. You are solely responsible for setting alarm volumes at safe levels and using the App's audio features responsibly.

The App should not be used by individuals who may be adversely affected by sudden alarm sounds, flashing lights, or bright screen displays. This includes, but is not limited to, individuals with photosensitive epilepsy, certain cardiac conditions, or other conditions that may be triggered by sudden auditory or visual stimuli. If you have any such condition, consult your healthcare provider before using the App.

Individual results vary. Ensonova makes no guarantees regarding improvement in sleep habits, morning routines, wakefulness, or any other outcome related to the use of the App.

6. Assumption of Risk

You acknowledge and agree that you voluntarily use the App at your own risk. You understand that the App is an alarm clock tool with entertainment features, and its functionality is subject to the limitations of your device, operating system, battery life, network conditions, and other factors outside Ensonova's control.

You are solely responsible for ensuring that you wake up on time for all critical obligations, including but not limited to employment, travel, medical appointments, examinations, and any other time-sensitive commitments. Ensonova accepts no responsibility for any consequences arising from your failure to wake up on time.

You agree that you will not rely on the App as your sole method of waking for safety-critical situations, including but not limited to situations where oversleeping could result in danger to yourself or others, significant financial loss, missed emergency responses, or any circumstance where timely waking is essential to health, safety, or welfare.

7. Intellectual Property

All content in the App, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Ensonova or its content suppliers and is protected by international copyright laws.

8. In-App Purchases

The App may offer in-app purchases for additional features, themes, or content. All purchases are final and non-refundable except as required by applicable law. You are responsible for all charges incurred through your account.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ensonova and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the App
  • Any failure of the alarm to function as expected
  • Any unauthorized access to your account
  • Any interruption or cessation of the App's functionality
  • Any health-related issues arising from the use of the App, including but not limited to hearing damage from alarm volume or adverse reactions to visual stimuli
  • Any consequences resulting from oversleeping or failing to wake up on time
  • Any reliance on the App for safety-critical waking situations

In no event shall Ensonova's total cumulative liability to you for all claims arising out of or relating to the use of the App exceed the amount you have paid to Ensonova for the App in the twelve (12) months preceding the claim, or fifty US dollars (USD $50.00), whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ensonova and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any claim that your use of the App caused damage to a third party
  • Your failure to wake up on time or any consequences resulting therefrom
  • Any health-related claims arising from your use of the App

This indemnification obligation shall survive the termination of these Terms and your use of the App.

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the App.

12. Updates to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the App after any changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ensonova operates, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ensonova with respect to the App and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Ensonova regarding the App. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Ensonova's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
